Agreement

These Terms of Service govern access to and use of Calvy, a product operated by Social Traffic Inc.. By creating an account, using Calvy, or authorizing someone to use Calvy for a business, you agree to these Terms.

If you use Calvy on behalf of a company or other organization, you represent that you have the authority to bind that organization. In these Terms, “you” means both the individual user and the business or organization using Calvy.

The service

Calvy provides AI-assisted front desk tools for local businesses, including call handling, SMS, inbox threads, contacts, appointment booking, reminders, follow-ups, saved messages, availability controls, call summaries, transcripts, recordings where enabled, and related workflow tools.

Calvy is not a replacement for professional judgment, emergency dispatch, legal advice, medical advice, financial advice, or regulated professional services. You are responsible for reviewing important customer interactions and confirming that your business obligations are met.

Accounts and authorized users

You must provide accurate account and business information and keep it current. You are responsible for all activity under your account and for maintaining the confidentiality of login credentials, devices, and connected integrations.

You may allow authorized users to access your account only if they comply with these Terms. You are responsible for their actions and permissions.

Your data and customer data

As between you and Calvy, you retain ownership of your business data and the customer data you submit to or collect through Calvy. You grant Calvy permission to host, process, transmit, copy, display, analyze, and otherwise use that data as needed to provide, secure, support, improve, and maintain the service and as otherwise described in our Privacy Policy.

You represent that you have all rights, notices, permissions, and consents required to provide customer data to Calvy and to allow Calvy to process that data on your behalf.

You are responsible for the accuracy and legality of the services, prices, policies, availability, customer instructions, uploaded content, and business rules that you configure in Calvy.

Data processing commitments

For customer data that Calvy processes on your behalf, Calvy will use that data only to provide, secure, support, maintain, and improve the service; comply with law; enforce these Terms; and protect Calvy, users, providers, and customers.

Calvy will:

  • use subprocessors and providers that support the operation of Calvy;
  • require appropriate confidentiality and security commitments from those providers;
  • assist with privacy requests where required and reasonably possible;
  • delete or return customer data after account closure where required, subject to backups, logs, legal holds, dispute records, billing records, fraud prevention, and other legitimate retention needs;
  • notify you of security incidents involving your customer data when required by law or our customer agreements.

Your compliance responsibilities

You are responsible for using Calvy lawfully. This includes, where applicable, privacy laws, anti-spam laws, texting rules, telemarketing rules, call recording and consent laws, consumer protection laws, professional licensing rules, industry-specific rules, payment rules, carrier rules, and platform or app store rules.

Without limiting the above, you are responsible for:

  • Giving legally required notices before recording, transcribing, or analyzing calls.
  • Obtaining legally required consent before calling, texting, sending reminders, or sending follow-ups.
  • Keeping records of opt-ins, customer requests, appointment relationships, and other consent evidence.
  • Honoring opt-outs and not contacting people who have withdrawn consent.
  • Using accurate sender identification and not disguising who is contacting the customer.
  • Keeping your services, pricing, hours, availability, address, transfer settings, and policies accurate.
  • Reviewing AI-captured bookings, notes, messages, and customer instructions when needed.
  • Making sure your use of Calvy fits your industry, licensing, and jurisdiction.

Calls, SMS, and messaging

Calvy may send and receive calls, SMS, confirmations, reminders, saved links, follow-ups, and owner replies using numbers and providers configured for your account. You may not use Calvy to send spam, unlawful telemarketing, misleading messages, harassment, phishing, scams, or messages without required consent.

You must not import, message, or call people through Calvy unless you have a lawful basis to do so. If you use Calvy for marketing or promotional messages, you are responsible for meeting any express-consent, disclosure, identification, time-of-day, unsubscribe, and recordkeeping requirements that apply.

Calvy may process STOP, HELP, START, CANCEL, END, and similar commands, but you remain responsible for honoring opt-outs across your business systems and any non-Calvy tools you use.

Carrier registration, delivery, filtering, rate limits, opt-out handling, number availability, phone number reputation, and communications provider rules may affect whether calls or messages are delivered. Calvy does not guarantee that every call or message will connect, be answered, or be delivered.

AI features

Calvy uses AI to help understand conversations, generate responses, classify intent, summarize calls, extract fields, and trigger backend-controlled workflows. AI output may be inaccurate, incomplete, delayed, or inappropriate for a particular situation.

Calvy uses backend guardrails for important actions, but you remain responsible for supervising your business operations. You should not rely on Calvy as the sole system for emergencies, high-risk decisions, regulated professional advice, or legally required human review.

Unless we separately agree in writing, Calvy does not use your customer call recordings, transcripts, SMS content, or end-customer conversation data to train public foundation models. You may not present AI output as human-reviewed, professionally verified, or guaranteed unless you have actually reviewed and verified it.

Acceptable use

You may not use Calvy to:

  • Violate law, infringe rights, or mislead customers.
  • Send spam, unlawful marketing, abusive communications, or messages without required consent.
  • Collect sensitive information that is not necessary for your business purpose.
  • Operate emergency, crisis, dispatch, medical, legal, financial, or safety-critical workflows without a separate written agreement.
  • Interfere with, reverse engineer, overload, scan, scrape, or attempt to bypass Calvy security or rate limits.
  • Upload malware, harmful code, or content that is unlawful, abusive, discriminatory, or exploitative.
  • Use Calvy to build a competing product by copying non-public features, interfaces, workflows, or system behavior.

Third-party services and integrations

Calvy depends on third-party providers for hosting, database infrastructure, communications, phone numbers, voice and SMS, AI processing, billing, analytics, crash reporting, security, app stores, push notifications, and integrations such as calendars or address lookup.

Your use of third-party integrations may be subject to the third party’s own terms and privacy policies. We are not responsible for third-party services that we do not control, and we may change providers or integrations as needed to operate Calvy.

Plans, fees, and taxes

Paid plans, usage limits, included minutes, included SMS, add-ons, taxes, and overage or carrier costs may vary by plan and jurisdiction. You agree to pay all fees and taxes associated with your account. Unless stated otherwise, fees are non-refundable except where required by law or by the applicable app store or payment provider rules.

If you subscribe through Apple, Apple’s payment, cancellation, refund, and subscription terms may apply. If you subscribe through the web, our payment processor may handle checkout, payment methods, invoices, prorations, failed payments, and subscription updates.

Subscriptions may renew automatically until cancelled. You are responsible for cancelling through the same channel where you subscribed, unless Calvy provides another supported cancellation method.

Availability and changes

We aim to keep Calvy reliable, but the service may be unavailable, delayed, degraded, or changed because of maintenance, provider outages, network problems, software issues, security events, legal requirements, or other reasons.

We may add, change, suspend, or discontinue features, plans, integrations, limits, or providers at any time. Where a material change negatively affects active paid users, we will try to provide reasonable notice when practical.

Beta and experimental features

Some Calvy features may be marked beta, preview, experimental, or early access. These features may be less reliable, may change without notice, and may be discontinued. You should not rely on beta features for critical business operations.

Intellectual property

Calvy, including our software, design, workflows, models, documentation, branding, website, and product interfaces, is owned by Social Traffic Inc. or our licensors and is protected by intellectual property laws.

You may use Calvy only as allowed by these Terms. Feedback, suggestions, or ideas you provide may be used by us without restriction or compensation, but we will not publicly identify you as the source without permission.

Confidentiality

Non-public product, business, technical, pricing, security, roadmap, or customer information disclosed by one party to the other should be treated as confidential and used only for purposes related to Calvy, unless it becomes public through no fault of the receiving party or disclosure is required by law.

Suspension and termination

You may stop using Calvy at any time. We may suspend or terminate access if you violate these Terms, create legal or security risk, fail to pay fees, abuse the service, or use Calvy in a way that may harm customers, providers, carriers, users, or Calvy.

After termination, we may retain or delete data as described in our Privacy Policy, applicable law, account settings, and backup or recordkeeping practices.

Disclaimers

Calvy is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, and uninterrupted operation.

Limitation of liability

To the fullest extent permitted by law, Social Traffic Inc. and its directors, officers, employees, contractors, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost data, goodwill, replacement services, or business interruption.

To the fullest extent permitted by law, our total liability for any claim relating to Calvy or these Terms will not exceed the greater of CAD $100 or the amounts you paid to Calvy for the service in the three months before the event giving rise to the claim.

Indemnity

You agree to defend, indemnify, and hold harmless Social Traffic Inc. from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from your data, your business operations, your customers, your use of Calvy, your violation of these Terms, your violation of law, or your infringement of another person’s rights.

Governing law

These Terms are governed by the laws of Alberta and the federal laws of Canada applicable there, without regard to conflict of law rules. Subject to any mandatory consumer protection laws, the courts located in Calgary, Alberta will have exclusive jurisdiction over disputes relating to these Terms or Calvy.

Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the website, dashboard, app, email, or another reasonable method. Continued use of Calvy after the updated Terms take effect means you accept the updated Terms.
